Рынок, на котором совершаются сделки по купле-продаже ценных бумаг. Основными участниками фондовой биржи являются фирмы, «делающие» рынок, которые выполняют функции брокеров и джобберов (см. Market maker), брокеры-специалисты, которые специализируются на определенных ценных бумагах, эмиссионные дома, торговые и коммерческие банки, центральный банк, пенсионные фонды, страховые компании, паевые фонды и инвестиционные компании, а также частные лица, промышленные компании и зарубежные инвесторы. Фондовая биржа наряду с денежным рынком является основным источником внешнего финансирования промышленных компаний и государства. Фондовая биржа подразделяется на два рынка: первичный рынок или рынок, где размещаются новые выпуски ценных бумаг, и вторичный рынок, на котором обращаются ранее выпущенные бумаги, включая фьючерский рынок. Таким образом, фондовая биржа играет существенную роль в функционировании всей финансовой системы страны, формируя механизм перелива капитала из одной сферы экономической деятельности в другую. Лондонская фондовая биржа, основанная в 1773 г., является главным центром проведения операций с ценными бумагами в стране и в мире. В Великобритании фондовые биржи также расположены в Глазго, Ливерпуле, Бирмингеме, Йорке и Белфасте. Чтобы получить котировку на Лондонской фондовой бирже, компания обязана выполнить некоторые требования, включая предоставление сведений, подтверждающих ее кредитоспособность, данных о ее деятельности за прошлые годы, а также дать согласие выпустить на рынок не менее 25% своих акций. Дополнительно были введены более гибкие нормы, чтобы позволить малым компаниям привлекать капитал, минуя процедуру получения котировки (см. Unlished securities market). Финансовые учреждения и брокерские фирмы развернули также самостоятельную деятельность за границей. Все это способствовало усилению конкуренции, что в свою очередь вызвало ряд важных изменений, особенно в организации деятельности Лондонской фондовой биржи. В 1986 г. произошла ее реорганизация (см. Big Bang), в результате которой был положен конец картельным соглашениям об установлении минимального комиссионного сбора и традиционному разграничению функций брокеров и джобберов. В процессе слияний и поглощений образовалось множество совместных брокерских фирм, что дало возможность привлечь капитал зарубежных инвесторов и расширить возможности отечественных инвесторов за рубежом. Была проведена компьютеризация сделок с использованием автоматизированной электронной системы котировок SEAQ (Stock Exchange Automatic Quotations), что позволило координировать сделки в мировом масштабе. Повседневная работа участников биржи переместилась из операционного зала в специальные рабочие комнаты, оборудованные телефонами и компьютерами. В связи с ростом количества международных сделок с ценными бумагами в девяностые годы Лондонская фондовая биржа слилась с Организацией по регулированию операций с международными ценными бумагами ISRO, которая представляла крупнейшие международные фирмы. В ноябре 1999 г. было учреждено новое отделение биржи под названием «Techmark», где стали котироваться акции высокотехнологичных компаний. Вскоре примеру Лондонской фондовой биржи последовала американская Национальная ассоциация дилеров по ценным бумагам NASD. Ассоциация, также занимающаяся операциями с ценными бумагами быстрорастущих компаний, открыла конкурирующую биржу в Лондоне в рамках своей общеевропейской программы (см. NASDAQ). Кроме того, Лондонская фондовая биржа столкнулась с конкуренцией со стороны открывшейся также в Лондоне биржи «Tradepoint» - электронной биржи, принадлежащей консорциуму, во главе которого стоит компания «Рейтер», ряд американсих инвестиционных банков и групп по управлению инвестиционными фондами. В 2000 г. произошло слияние бирж в Париже, Амстердаме и Брюсселе, в результате чего образовалась биржа «Euronext». Швейцарская фондовая биржа «SWX» объединилась с биржей «Tradepoint» в одну биржу, которая стала называться «Vert-X». Процесс продолжается. Деятельность рынка ценных бумаг в Великобритании регулируется Ассоциацией по ценным бумагам TSA и Ассоциацией брокеров и дилеров по фьючерским операциям AFBD в соответствии с правилами добропорядочности, заложенными в законе о финансовых услугах 1986 г.
